Draft — under legal review. The final version may change before launch.
Welcome to the provider side of Swipaw 🐾 You run your pet business; we bring requesters and protect their payments until you are paid.
In short: Ikaw ang boss: your prices, your rules, and you may decline any request. Get verified and BIR-registered first. Payments wait with Xendit until the job is done (Payment Protection, protektado ang bayad), then reach you less our commission and any required tax. If we act on your account, you get reasons and a review. The clauses govern.
1. About this Agreement#
- Parties. Swipaw is operated by Parada Technologies Inc. (SEC Registration No. (to be published); registered office 24 Sheridan Towers North, Buayang Bato, Mandaluyong City, Metro Manila 1550, Philippines) trading as Swipaw ("Swipaw", "we"). This Service Provider Agreement (the "Agreement") binds Swipaw and you, a provider of paid services on Swipaw's apps and website (the "Platform") to requesters, whose accepted requests become bookings.
- Other documents. The Terms of Service and documents they incorporate also apply; this Agreement prevails over them for providers, and your Service Terms (stud, hotels, grooming, playdates, later services) prevail on their subject.
- Acceptance. You accept by ticking the box before your first paid listing, payment set-up or payout account, and again when a new version asks; it binds like a signature under the Electronic Commerce Act of 2000 (RA 8792), and we record the version, time and device. This Agreement, your listing and each accepted request form your contract. Current version: /legal/provider-agreement; earlier versions on request.
- Changes. We give 15 days' notice of changes, and 30 days' before raising commission, moving payout fees to you or changing default cancellation windows, unless the law requires sooner; accepted requests are never affected, and you may leave instead (clause 13.4).
2. Your business, your rules#
- Independent business. You act as an independent business, not our employee, agent or partner; nothing here creates employment, a partnership, a joint venture or agency beyond clause 8.3.
- You decide your prices, offer floor, availability, service area, cancellation override and animal requirements, which requests to accept, decline or counter, and how you work within section 6, with your own premises, tools, vehicles, staff, permits and insurance. You may sell elsewhere, and we impose no exclusivity, price parity, non-compete, non-solicitation, schedules, uniforms, scripts, minimum earnings or discipline; ratings are public signals, not penalties.
- Pay and contributions. Each completed booking pays you the agreed price less disclosed commission and any tax withheld, for services, not wages. Your taxes, staff and self-employed coverage under the Social Security Act (RA 11199), Universal Health Care Act (RA 11223) and Pag-IBIG Fund Law (RA 9679) are yours.
- Prices are yours. We never set, recommend or coordinate provider prices; you may not use the Platform to fix prices or divide customers (Philippine Competition Act, RA 10667).
3. Verification and permits (papeles muna)#
- Verification. You must be 18 or older and serve in the Philippines. Paid services need basic verification (ID, selfie, address). Stud owners also need stud verification; hotels, salon groomers and registered businesses need business verification (DTI or SEC papers, Mayor's permit and, for clinics, kennels, pet shops and other animal facilities, a Bureau of Animal Industry (BAI) position) (Verification Policy).
- Who needs what, in your own name, before you list:
| You offer | You need |
|---|---|
| Any paid service, including home-service grooming and paid playdates | Basic verification, BIR registration (section 9) and any Mayor's, barangay or professional permit your city requires |
| Stud services | Stud verification, and a declaration of fewer than 20 breeding animals or a BAI kennel registration |
| Pet hotel or boarding (even at home), or salon grooming | Business verification, Mayor's permit, and a BAI Certificate of Registration or the BAI's written word that none is needed (Animal Welfare Act, RA 8485, as amended by RA 10631) |
| Vets, pet taxis and other later services | PRC licences (Veterinary Medicine Act, RA 9268) and clinic BAI registration; LTFRB authority, for-hire OR/CR and a professional licence (Public Service Act, CA 146); see the Additional Services Terms |
- Home provider declaration. Home boarders truthfully declare their BAI position (registered, or told in writing that none is needed), stud owners that they keep fewer than 20 breeding animals, and hotels tick the BAI care checklist. Stop offering the service if the BAI or your city requires a registration you lack.
- Keep it current. Report changed, expired or cancelled details, permits or declarations within 15 days, and re-verify yearly and before an ID or permit expires.
4. Listings, prices and offers#
- Accurate listings. Show your name or business name, inclusions, exclusions, conditions and every price, as the Internet Transactions Act of 2023 (RA 11967) requires: price every option, declare every surcharge, and show "from" prices only with the full menu.
- Price shown, price paid. Your listed price is the requester's total, VAT included if you are VAT-registered; never charge more than the accepted total, on or off the Platform, except declared charges your Service Terms allow.
- Offers. Requesters always see your listed price and may offer down to your floor (at least 50% of the quote, or higher if you choose); you alone accept, decline or counter, and counters never exceed your listed price.
- Honest claims. Claim certifications, licences, insurance or vet approval only if true and provable, and never guarantee results (Consumer Act of the Philippines, RA 7394).
- Fair access. Requirements must concern the animal; never refuse or disfavour anyone for sex, sexual orientation, gender identity, religion, ethnicity, disability, HIV status, age or civil status (Safe Spaces Act, RA 11313; Magna Carta for Persons with Disability, RA 7277; Philippine HIV and AIDS Policy Act, RA 11166).
- Prohibited offers. Offer nothing the law, the Community Guidelines or Xendit's prohibited-business list forbids: no selling, reserving or brokering of animals or litters, "reservation fees", wildlife or exotics (Wildlife Act, RA 9147).
5. Requests, bookings and cancellations#
- Requests expire after 72 hours unanswered; declining never opens a chat, and the requester may ask again after 24 hours. Instant Book, if on, auto-accepts full-price requests.
- Bookings. Set up Payment Protection (section 8) before accepting paid requests. Accepted requests are payable within 24 hours; payment confirms the booking, opens the chat and reveals the service address. Perform as booked and advertised, recording start and completion truthfully.
- Your cancellations refund the requester in full and earn you nothing. Each is a strike, except welfare or safety refusals recorded in the booking at the time (unperformed parts refunded) and cancellations we accept were forced by typhoons, government orders or similar events. 3 strikes in 30 days pause your listings, with reasons, until a review you may request.
- Requester cancellations follow the policy shown before payment (your override or the defaults below), and unrefunded amounts are released to you less commission. These windows cover change of mind only, never limiting remedies for a defective, incomplete or undelivered service: re-performance, refund or price reduction (Consumer Act, Art. 102).
- No-shows. Report requester no-shows in the booking when the app allows; they count as late cancellations, without strikes. If you fail to show, the requester may dispute, is normally refunded in full, and it may count as your cancellation.
- Disputes. Either party may dispute before release, which then stops until we refund, release or split (commission only on your share). Cooperate promptly so complaints are resolved within 7 calendar days, as the Internet Transactions Act expects (Complaints).

6. Animal welfare standards (hayop muna)#
- Outcome standards. Meet these outcomes your own way, under the Animal Welfare Act, the Anti-Rabies Act of 2007 (RA 9482), local ordinances and your Service Terms: animals get food, clean water, shelter, rest, exercise and prompt vet care; only animals passing your category's vaccination and health gates (stud: Brucella canis tests, breeding ages) are accepted; no pet passed on, moved or used without its owner's written consent; emergency vet spending within the owner's approved cap (₱5,000 for hotels by default); uncollected pets cared for and never sold, rehomed or put down, passing to the city veterinary office, barangay or a BAI-registered shelter only with our written confirmation after 15 days without contact; carriers, crates or harnesses in transit, never trunks or uncaged open beds; and no shock or prong devices, hitting or deprivation.
- No veterinary acts. Unless PRC-licensed, never diagnose, treat, prescribe, dispense, inject, vaccinate, sedate or certify health, or advertise doing so; give medicine only as the owner's vet prescribed and labelled it, logging each dose.
- Incidents. Report injuries, illness needing a vet, escapes and deaths through the booking's incident report within 2 hours (alerting the owner and us), and dog bites to the barangay or city veterinary office within 24 hours, keeping the dog under veterinary observation for 14 days. You answer for your staff.
7. What you may not do (bawal)#
- Off-platform deals. For bookings started on Swipaw, take no payment outside the Platform (cash, transfers, deposits or "reservation fees"), never steer requesters to pay you directly, and keep contact details and links out of listings, requests and offer notes until the booking chat opens. Customers who find you elsewhere are yours.
- Contracting out. House rules may not exclude your liability, waive your negligence or deny refunds for a defective, incomplete or undelivered service (Consumer Act, Art. 106).
8. Payment Protection and payouts (protektado ang bayad)#
- How it works. Xendit Philippines, Inc. ("Xendit"), a payment-system operator registered with the Bangko Sentral ng Pilipinas, collects each payment, within our payment limits, for a sub-account kept for you and holds it until released or refunded under this Agreement (Payment Protection). At release our commission and any withheld tax are split off; the rest is your earnings. Swipaw is not a bank, e-money issuer or trust entity and never holds booking money in its own name. Paying your sub-account settles the requester's debt to you.
- Your sub-account. You consent to Xendit opening it, accept Xendit's terms, complete Xendit's own checks and authorise us to submit and update your account-holder details and any business documents Xendit asks for. Never withdraw or move held money before we instruct release, or change the sub-account outside the Platform; you repay any shortfall this causes.
- Our limited role. You appoint us your agent only to request payments, instruct releases and refunds under this Agreement, collect commission, withhold tax and recover sums under clause 8.7 (Civil Code, RA 386, Arts. 1868 and 1891). We account through your Wallet, a read-only statement, and are not party to your contracts with requesters.
- Release and commission. Payment is released when the requester confirms completion, or 48 hours after you mark it complete (or your category's period), unless a dispute is open. Our commission is 10% of the booking price or your category's rate below, shown before you list and in each price breakdown; it is VAT-inclusive, never added to the requester's price, applies to released cancellation amounts and split shares, and is fixed on acceptance. We deduct nothing else unless this Agreement or the law allows it.
- Payouts. Earnings go to your default payout account on your Wallet's schedule (a daily batch at 10:00 Manila time by default) once the payment settles at Xendit and, for cards, 7 days after release; Xendit's payout fee is paid by Swipaw.
| Service | Commission (VAT-inclusive) |
|---|---|
| Stud services | 10% |
| Paid playdates | 10% |
| Pet hotel & boarding | 10% |
| Grooming | 10% |
| Vet visits | 10% |
| Sitting & walking | 10% |
| Pet taxi | 10% |
| Training | 10% |
9. Taxes#
- Registration. Before your first paid listing, register with the Bureau of Internal Revenue (BIR) under the National Internal Revenue Code (RA 8424, as amended; the Tax Code), as Revenue Regulations (RR) No. 16-2023 requires, and give us your TIN, registered name and address, RDO, VAT status and Certificate of Registration (BIR Form 2303); report changes within 15 days.
- Withholding. We withhold creditable income tax of 0.5% ("1% on one-half") of each gross remittance (your price less our commission and any VAT you charge) under RR No. 16-2023, as amended by RR No. 5-2025, unless we hold an exemption certificate or your BIR-received Sworn Declaration (RMC No. 8-2024, Annex "A") that your gross remittances from all platforms this year will not exceed ₱500,000. Renew it by 20 January yearly and refile once you exceed it. Otherwise we withhold from the first peso, and once our remittances to you in a year pass ₱500,000, on that and every later remittance.
- Credit and reporting. Withheld tax is part of the price and credits against your income tax. We issue BIR Form 2307 within 20 days after each quarter and on request (or Xendit does where BIR rules make it the withholding agent) and report remittances and withholding to the BIR, including in our annual alphalist.
- Invoices. Issue the requester a BIR-registered invoice for every service of ₱500 or more, or every service if VAT-registered (Tax Code, Section 237, as amended by the Ease of Paying Taxes Act, RA 11976); our payment acknowledgement is not your invoice. We invoice each commission and keep tax records for 10 years.
10. Customer data#
- Your role. For confirmed bookings you see the requester's legal name, pets, the service address if at their place, a hotel stay's emergency contact and what they share; for that, and anything you collect yourself, offline included, you are a separate personal information controller under the Data Privacy Act of 2012 (RA 10173).
- Use limits. Use it only for that booking and legal duties such as invoicing, never for marketing, sharing, sale or posting; keep it secure, delete it when the booking and any dispute end unless the law says otherwise, honour data-subject requests, and report breaches to [email protected] within 24 hours, besides any notice owed to the National Privacy Commission.
- What we share. Confirmed requesters see your legal name (and a business's address) and the service address when at your place. Xendit, the BIR and lawful authorities get what they need; ID images, TIN and payout numbers stay private (Privacy Notice).
11. Reviews#
- Reviews are two-way and hidden until both of you review or the window closes. Review only what you saw, reply once to reviews of you and never buy, fake or pressure reviews; honest negative ones stay up (Review Policy).
12. Insurance, liability and indemnity#
- Insurance. You confirm you carry insurance suited to your service (we recommend care, custody and control cover, and motor cover for transport) or accept the risk of working without it.
- Indemnity. You indemnify us for third-party claims, fines, losses and reasonable legal costs caused by your breach of this Agreement or the law, or your negligence in a service, but not by our own fault.
- Our liability is capped, where the law allows, at the greater of the commission you paid in the 12 months before the claim or ₱5,000, except for fraud, gross negligence, bad faith, death or injury, our duty to account for and release your earnings, or what the law forbids limiting.
13. Suspension, grievances and ending#
- Grounds. We may pause or remove listings, hold payouts, suspend provider features or end this Agreement only for breaches of this Agreement or the documents in clause 1.2; animal or human safety; fraud, forgery or off-platform payment; lapsed verification, permits or tax registration; repeated cancellations; or legal, regulatory or Xendit requirements.
- Fair process. Before suspending or deactivating you we give written reasons, a named contact and a chance to respond, unless an animal or person is at risk, fraud or illegal content is involved or an authority requires immediate action; then we explain afterwards.
- Grievances (may reklamo?). Raise any grievance, including a review of a strike, pause, hold or suspension, in the app, at [email protected] or on (to be published): we acknowledge it in writing within one business day, someone uninvolved reviews it, and you get a reasoned decision within 7 calendar days, free and without retaliation.
- Ending. You may end this Agreement anytime by removing your listings or closing your account; we may end it on 30 days' notice, or at once under clause 13.1. Open requests lapse, confirmed bookings follow section 5 (full refunds, no strike, if we end it for safety or fraud) and earnings follow clause 8.8; sections 8 to 10, 12 and 14 survive.
14. Law, disputes and general terms#
- Law and venue. Philippine law governs. Mediation under the Alternative Dispute Resolution Act of 2004 (RA 9285) is open if both agree. Court actions go only to the proper courts of Mandaluyong City, Metro Manila, excluding all other venues; non-waivable rights stay intact.
- General. This Agreement, the documents in clause 1.2 and accepted requests are our whole agreement; invalid clauses are severed and delay is no waiver. Only we may assign it, to a successor, with notice. Notices go in-app or to your account e-mail; English prevails.
